2.2. Education

The Company provides educational materials related to financial markets, trading concepts, trading psychology, and general market behavior. This content is developed and provided by affiliated entities based in Dubai and Budapest, which are responsible for the educational division of the Company. All educational content is provided strictly for informational and educational purposes only. It does not constitute financial advice, investment recommendations, or an offer or solicitation to buy or sell any financial instrument. The content reflects personal opinions and general approaches to understanding financial markets and should not be relied upon for making investment decisions.

2.3. Technology and Strategy Solutions

The Company develops and provides technology solutions, including software tools and proprietary trading strategies, to third-party regulated broker partners. These services are offered on a software-as-a-service (SaaS) basis to reputable and fully regulated brokers. The Company develops in-house trading strategies using its own proprietary capital for research and educational purposes. These strategies may be shared with selected broker partners operating under their own regulatory licenses. The Company does not execute trades on behalf of clients, hold client funds, or manage investment portfolios. The Bahamian entity within the Company structure is responsible for the development and provision of such strategies.

3. Eligibility

To use the Services, you must be at least 18 years old and have the legal capacity to enter into a contract and undergo a KYC procedure where its needed. By using the Services, you represent and warrant that you meet these eligibility requirements and you hold yourself liable for your own actions.

8. Account Registration

You can always check the performance of our strategies without being involved, from a third-party provider named as Myfxbook or from proprietary platform of Bitget. Myfxbook acts as an independent third-party strategy performance auditor for “TPC PRIME”.

TradePoint Capital is not independently regulated and does not offer any kind of financial services. TradePoint Capital acts solely as a technology and strategy provider and does not operate as a broker, exchange, custodian, or financial intermediary. “TPC PRIME” is a brand name representing a proprietary strategy developed by TradePoint Capital and made available through the licensed and regulated brokerage infrastructure of Vantage Markets. TradePoint Capital is a ‘Strategy Provider' to Vantage which is the trading name of Vantage International Group Limited authorized and regulated by Cayman Islands Monetary Authority (CIMA), under Securities Investment Business Law (SIBL) number 1383491. 18. No Account Control and Third-Party Acknowledgment

By subscribing to any strategy displayed on our website, you acknowledge and agree to be bound by these Terms and Conditions, as well as the separate terms and conditions, policies, and legal documentation of the relevant third-party service providers, including but not limited to Vantage Markets, Bitget or other partner platforms. TradePoint Capital and its partners reserve the right to amend, update, or modify their respective terms at any time. Continued use of the Services following any such changes constitutes your acceptance of those updated terms. All trading activity is conducted directly between you and your selected third-party broker or platform. TradePoint Capital:

• does not open, operate, or manage brokerage accounts on behalf of clients;

• does not hold, access, or custody client funds;

• does not have discretionary authority over any account.

Users may subscribe to or unsubscribe from any strategy at their sole discretion at any time, subject to the terms of the relevant third-party platform.

19. Confidentiality and Non-Disclosure

All parties agree to maintain the confidentiality of any non-public, proprietary, or sensitive information disclosed in connection with the Services (“Confidential Information”). By accessing or using any of the Company’s services, including but not limited to educational content and displayed strategies, you agree to be bound by the following confidentiality obligations. For the purposes of these Terms, “Confidential Information” includes, but is not limited to:

• trading strategies, models, and performance data;

• proprietary methodologies, trade logic, and analytical frameworks;

• educational materials, lessons, and supporting content;

• software tools, dashboards, and technological solutions;

• business operations, communications, and internal processes.

All such Confidential Information is the exclusive property of TradePoint Capital and/or its affiliated entities and is not publicly available.

You agree that you shall:

• not disclose, share, distribute, publish, or make available any Confidential Information to any third party;

• not reproduce, copy, or redistribute any Confidential Information in any form;

• not use the Confidential Information for any purpose other than your personal, non-commercial use within the Services;

• not use the Confidential Information to create competing products or services.

These obligations apply regardless of whether you access the Confidential Information through educational services, strategy offerings, or any associated third-party platforms. Your confidentiality obligations shall remain in effect during your use of the Services and continue indefinitely after termination or cessation of access.

20. Fund Custody and Withdrawals

TradePoint Capital does not hold, manage, or otherwise have control over client funds. All funds deposited by clients are held directly by the respective third-party platforms through which our proprietary strategies may are published. Clients retain full control over their funds at all times. All financial transactions, including deposits, withdrawals, strategy subscriptions, and exits, are conducted directly through the relevant third-party platform in accordance with that platform’s terms and conditions. TradePoint Capital does not execute trades, accept deposits, or manage client accounts. Clients are solely responsible for complying with the applicable terms of the third-party platform through which they access the strategies or other services of the entities. TradePoint Capital and its affiliates are not liable for any loss of funds, technical issues, or delays arising from the third-party platform’s operations.

20.1. Vantage Markets (TPC PRIME)

Vantage Markets maintains segregated client trust accounts with top-tier banks to enhance the protection of client funds. Vantage is a regulated entity holding licenses from the Financial Conduct Authority (FCA) in the UK, the Financial Sector Conduct Authority (FSCA) in South Africa, the Cayman Islands Monetary Authority (CIMA), the Australian Securities and Investments Commission (ASIC) in Australia, the Vanuatu Financial Services Commission (VFSC) in Vanuatu and the Financial Services Commission (FSC) in Mauritius. Vantage uses leading liquidity providers, including J.P. Morgan, HSBC, RBS, Citibank, Nomura, and Goldman Sachs, and has arranged insurance coverage through Lloyd’s of London for up to USD $1,000,000 per claimant, at no additional cost to its clients. This insurance provides additional protection in the unlikely event that Vantage is unable to meet its financial obligations.

20.2. Bitget (TPC FUSION)

All funds deposited for Bitget are held only by Bitget, a regulated cryptocurrency exchange and Web3 platform. Bitget offers two main custody models: a centralized custodial service for exchange trading and a non-custodial wallet (Bitget Wallet) for self-custody. The platform features a $300M+ Protection Fund, Proof of Reserves, and specialized "Fund Custody" services with segregated wallets for institutions holding over 100,000 USDT.

21. Disclaimer of Warranties

The Services are provided on an “as is” and “as available” basis. TradePoint Capital makes no representations or warranties, whether express or implied, regarding the operation, availability, accuracy, completeness, or reliability of the Services, or any information, content, materials, or products included therein. By using the Services, you acknowledge and agree that any reliance on such information or content is entirely at your own risk. TradePoint Capital, together with its officers, employees, affiliates, partners, and agents, does not warrant that the Services will be uninterrupted, secure, or free from errors, omissions, or delays.

22. Regulatory Status

TradePoint Capital is not licensed or regulated as a financial services provider. The Company does not provide investment advice, portfolio management, asset management, financial brokerage, or any other regulated financial services. TradePoint Capital does not receive, hold, or manage client funds, nor does it exercise discretionary authority over client accounts, including trading or other financial transactions. All financial services, including account management, trading execution, deposits, withdrawals, and related activities, are provided exclusively by the relevant third-party regulated entities and its own platforms through which the strategies may be published. TradePoint Capital acts solely as a technology and strategy provider for Vantage and Bitget. All trades, account management, and fund custody are executed by the third-party entities, and clients maintain full control over their accounts and funds at all times. 23. Refund

Due to the digital and informational nature of our services, all purchases are considered final and non-refundable.

24. User Conduct

You agree to use the Services only for lawful purposes and in accordance with these Terms and Conditions. You are strictly prohibited from using the Services for any illegal or fraudulent activity, including money laundering, terrorist financing, or any other illegal activity. You will not use the Services to engage in any form of harassment or abuse, or to send spam or unsolicited messages. You are responsible for your own actions in any kind of matter.

25. Industry Leading Partners

TradePoint Capital may engage with various industry-leading firms through marketing arrangements, technological collaborations, or affiliate relationships. Any logos, trademarks, or brand names of third parties displayed on our website or in marketing materials are used strictly for informational, illustrative and educational purposes. All such intellectual property remains the sole property of its respective owners. The display of third-party branding does not constitute or imply any endorsement, sponsorship, official partnership, or formal affiliation with TradePoint Capital, unless explicitly stated in a separate written agreement. In certain cases, the inclusion of third-party branding may indicate the existence of an affiliate relationship, whereby TradePoint Capital may receive compensation for qualified leads or referrals generated through its marketing activities, through one of its affiliated entities. This Agreement is governed by the laws of the Commonwealth of the Bahamas. The exclusive jurisdiction for any disputes arising from this Agreement shall be the courts of the Bahamas, with appeals as permitted to the Bahamian Court of Appeal.
